As part of the transaction agreement to merge Wilh. Wilhelmsen ASA and Wallroll
AB to form Wallenius Wilhelmsen ASA, a limited shareholders' agreement was
entered into between Wilh. Wilhelmsen Holding ASA and Wallenius Lines AB. The
main terms of the agreement were communicated to the market on 22 December 2016.
Wilh. Wilhelmsen Holding ASA and Wallenius Lines AB have today decided to extend
the duration of the limited shareholders agreement on its existing terms,
including without limitation, those terms relating to board representation,
nomination committee representation and the right of first refusal afforded to
either party if the other party intends a sale of its shares that would result
in its shareholding in Wallenius Wilhelmsen ASA falling below 20%.
The duration of the agreement has been extended to remain in force until 31
December 2026 and shall automatically renew thereafter for successive periods of
three years, unless and until terminated by a party on no less than six months'
written notice given before the relevant end date.
