Reference is made to the stock exchange announcement published by Wallenius
Wilhelmsen ASA (the "Company") on 6 October 2026 regarding the board of
directors' approval of the allocation of, and share capital increase relating
to, the private placement of 17,145,000 new shares in the Company (the "Private
Placement").
Following the board of directors' approval of the Private Placement, Wilh.
Wilhelmsen Holding ASA ("WWH"), a close associate of the Company's board member
Thomas Wilhelmsen and alternate board member Christian Berg, has subscribed for
and been allocated 2,850,000 new shares. In addition, WWH has lent 14,286,000
shares in the Company to DNB Carnegie, a part of DNB Bank ASA, to facilitate
delivery-versus-payment settlement of the Private Placement. The borrowed shares
will be redelivered following registration of the share capital increase
relating to the Private Placement and delivery of the new shares in VPS.
