<div class="abstract">The 2024 Annual Report will be published on Friday, 15 August, and the Annual General Meeting will follow suit on Monday, 15 September 2025.</div>Change in valuation of two subsidiariesDuring the 2024 audit, Talkpool AG trimmed its Pakistani subsidiary valuation from CHF 2.70 million to CHF 1.58 million following discussions with the auditors. The haircut in turn triggered a revaluation of Talkpool AG's 100%-owned German subsidiary. The book value of Talkpool Deutschland AG will be adjusted to approximately CHF 1.5 million (tentatively - not yet decided), an increase from the earlier book value of CHF 55,000. The large independent specialist BDO valued the German subsidiary at Euro 20.5 million. More information about this valuation will be&nbsp;published in a separate press release.Additional statutory audit of January - March 2025Following the two changes in valuation, current Swiss auditors require the auditing of Q1 2025 statutory accounts before completing the 2024 annual audit. This audit expansion affects only the parent company's statutory accounts, not the consolidated group statements. The additional audit process will delay publication of the finalized Annual Report and thus the Annual General Meeting. Dates for these are now planned for August 15 and September 15, 2025. The board expects the audited consolidated statements to approximately mirror what has already been reported. The Q1 2025 interim report was published on May 15 (available at <a href="https://talkpool.com/financial-reports/">https://talkpool.com/financial-reports/</a>), and the Year-end Report 2024 on March 14."This extended compliance process, while administratively cumbersome, ensures we meet all Swiss regulatory requirements to the letter.
