<div class="abstract">Matthias Winter provided Talkpool AG with a convertible loan amounting to EUR 700'000 (seven hundred thousand Euro) in January 2021.</div>The parties have agreed on a repayment of the outstanding convertible loan of EUR 700'000 plus EUR 80'397 accumulated interest in good order.EUR 780'397 shall be paid in shares of Nordic Propeye AB (previously called Nordic PropTech Investment Services AB) at a valuation of SEK 86.3 million. Totally 118'021 shares have been issued in Nordic Propeye AB. EUR 780'397 represents 12'093 shares.This reduces Talkpool's debt and interest cost further while creating an extraordinary gain of EUR 218'000. So, whereas Talkpool hereby reduces its shareholding in the promising Swedish business, the transaction leads to healthier finances.Talkpool has the right to buy back the Nordic Propeye AB shares until the 1[st] of August 2023 at a price of EUR 780'397 + interest.This disclosure contains information that TalkPool AG is obliged to make public pursuant to the EU Market Abuse Regulation (EU nr 596/2014) and the Swedish Securities Markets Act (2007:528).
