(“Theia Holdings”), a company indirectly owned by CVC Capital Partners V (“CVC”), has successfully completed the sale of 24,425,957 shares in Synsam AB (publ) (“Synsam” or the “Company”), corresponding to approximately 16.5 per cent of the share capital and votes in Synsam, at a price of SEK 46.0 per share.

Luvut itsessään olivat erittäinkin mallikkaat ja osuivat hyvin konsensukseen. EBITDA taisi jäädä muutaman miljoonan ennusteista. Tämän lisäksi Q1:llä alaskirjattiin silmälasivarastoa reilulla kädellä - tästä oikaistuna EBIT oli n. 202 MSEK. Suuri(n) huolenaihe tällä hetkellä on yhtiön kuukausimaksullisen Lifestyle tarjooman (n. 50% liikevaihdosta konsernitasolla) Churn, joka on kasvanut tasaisesti Q2 2023 jälkeen:  Etenkin Tanskan luvut huolettavat. Toki Tanska on Pohjoismaiden etabloitunein markkina näissä kuukausimaksullisissa sopimuksissa. Q1 jälkeisessä puhelussa johto ei ottanut kantaa, milloin churn kunkin maan osalta voisi tasaantua, mutta jäi tunne, että ovat asiaa pohtineet ja työluvut ovat tiedossa. Toisaalta, vaikka churn % nousee, Lifestyle segmentti kasvaa absoluuttisesti. Lisäksi johto aika suoraan sanoi, että kuukausimaksullisen palvelun lopettanut asiakas jatkaa suurella todennäköisyydellä Synsamin asiakkaana jatkossakin, sillä rillit tarvitsee joka tapauksessa. Pitää nyt myöskin muistaa, että perinteinen Lifestyle segmentti ei ole ainoa bisnes Synsamille. Esimerkiksi piilolinssien kuukausitilaukset ovat nousseet kovasti viimevuosina ja omia tuotemerkkejä on lisätty runsaasti. Uuden EyeView AI teknologian käyttöönotto on vielä vaiheessa, mutta Norjasta on saatu erittäin positiivisia signaaleja toiminnan tehostumisesta. Myös uusia myymälöitä avataan runsaasti ja operatiivisia kuluja yritetään pienentää EyeView:n avulla. Suurempana trendinä voisi vielä mainita, että ihmisten näkö huononee huolestuttavaa tahtia, etenking nuorilla. Luonnollisesti huononevat öögat tuovat lisää pitkäaikaista bisnestä yritykselle. Mitä tulee osakkeen arvostukseen: onhan tämä nyt kohtuullisen alhaisesti hinnoiteltu, varsinkaan jos ei pelästy nousevaa churnia. 2026e: P/E = ~11. EV/EBITDA = ~5.5.  2027e: P/E = ~9.5. EV/EBITDA = ~4.5. Luvut ovat n. 50% alle verrokkien. Ihan näin suuri alennus ei välttämättä ole perusteltu. Nettovelka/EBITDA mukavalla 1.8x tasolla. Lähitulevaisuudessa saattaa tulla pelipaikkoja, jos ja kun pääomistaja tekee täyden exitin. Viimeisin isompi blokki meni kaupaksi maaliskuussa. Jos arvostus pysyttelee näin alhaisena ja operatiivinen meno jatkuu vakaana, en myöskään näe täysin utopistisena, että yhtö ostetaan pois, esim. EssilorLuxottica:n toimesta (omistaa n. 6.5% Synsamista).
