STBSelskabsmeddelelse16.10.2026, 08.00
Reference is made to the stock exchange announcement made by Storebrand ASA on
11 June 2026 regarding Storebrand ASA's agreement to acquire up to 100 percent
of the shares in Knif Trygghet Forsikring AS ("Knif Trygghet"), together with a
partnership agreement with Knif AS to offer insurance, pension and asset
management products to the market for Christian and non-profit organisations
(the "Transaction").

All required regulatory approvals have now been received, and completion of the
Transaction is expected to take place today, 16 October 2026. Shareholders
representing 92.0 percent of the shares in Knif Trygghet have acceded to the
share purchase agreement. The consideration for 100 percent of the shares in
Knif Trygghet amounts to NOK 560 million and will be settled primarily in new
shares in Storebrand ASA.

To settle the share consideration in full at completion of the Transaction, the
board of directors of Storebrand ASA has today resolved to increase the share
capital by NOK 13,732,910, from NOK 2,123,818,180 to NOK 2,137,551,090, through
the issuance of 2,746,582 new shares, each with a nominal value of NOK 5.00,
based on the authorisation granted by the annual general meeting of Storebrand
ASA on 9 April 2026. Following registration of the capital increase in the
Norwegian Register of Business Enterprises, Storebrand ASA's share capital will
be NOK 2,137,551,090, divided into 427,510,218 shares, each with a nominal value
of NOK 5.00.

The merger of Knif Trygghet and Storebrand Forsikring AS is expected to be
completed in 2027. Completion of the Transaction and the subsequent merger are
not expected to have a material impact on the Storebrand Group's financial
results, solvency ratio or liquidity position.
