Qben Infra Strengthens Capital Base to Support Further Growth

Qben Infra is strengthening its capital base through two convertible loans in total amounting to approximately 73,4 MSEK from shareholders. The capital injection will provide the Group with increased financial flexibility and stability to continue its positive development, with a particular focus on further growth and development of the Power platform.

Qben Infra has experienced strong organic growth in its business over time. While the development has been positive, it has also resulted in increased working capital requirements and a need to strengthen the Company's financial position.

Against this backdrop, shareholders in Qben Infra have decided to provide the Company with additional capital through two tranches of convertible loans of in total SEK 73,410,132. The lenders of SEK 60,153,132 in Tranche I are Songa Investments AS, Tigerstaden AS, Geti AS and TB Industrier AS. Tranche II amounts to approximately SEK 13,257,000, the exact amount will be determined on the decision date based on the NOK/SEK rate. The lenders in tranche II are Granshagen Invest AS, Sonerud Invest AS, Skyttemoen Invest AS, Stenberg Invest AS, Hagelund Förvaltning AS, Bokrudstad Holding AS, Nbi Invest AS, A. Roan AS and Middelborg AS. Tranche II requires approval from an extraordinary general meeting as certain investors are related parties to the company

The convertible loan carry a fixed interest rate of 10% and has a maturity of 24 months. Conversion price is set at 7.83 SEK/share, calculated as the volume-weighted average of the share price on 14 August 2026, plus 5%.

The capital injection strengthens the Company's financial foundation and enables the organization to maintain its focus on operational development and profitable growth.

Strong focus on the Power platform

A key priority going forward will be the continued development of Qben Infra's Power platform. The Company is experiencing increasing demand in this area and sees significant opportunities for further organic growth.

The capital injection provides the Company with a stronger basis from which to pursue these opportunities while maintaining strict financial discipline across the Group.

Significant cost reductions during the first half of the year

In parallel with the growth, Qben Infra has undertaken a comprehensive operational and organizational review during the first half of the year. Significant cost reductions and efficiency measures have been implemented to streamline the business and reduce the cost base.

These measures are expected to have an increasing positive impact going forward and provide a basis for improved margins and profitability.
