Reference is made to the announcements by Otovo ASA (the "Company") regarding
the registrations of new share capital made on 9 March 2026, 7 April 2026, 16
July 2026 and 21 September 2026, and to the announcement made on 24 August 2026
regarding the Company's acquisition of Green Panel Solar Energy Systems Ltd.
The Company has prepared a listing prospectus (the "Prospectus") in connection
with the listing on Euronext Oslo Børs of shares issued or to be issued in
connection with the following transactions:
(i) 283,352 shares issued in connection with the acquisition of the rights to
service the limited warranties of the commercial solar portfolio of Freedom
Solar LLC;
(ii) 6,671,723 shares issued in connection with the acquisition of all shares in
Energyaid Inc.;
(iii) 10,079,377 shares issued in a private placement completed on 2 March 2026;
(iv) 5,852,652 shares issued in a private placement completed on 2 July 2026;
(v) up to 557,000 shares to be issued in connection with the acquisition of all
shares in Adma Holdings Ltd.; and
(vi) up to 4,710,000 shares to be issued in connection with the acquisition of
all shares in Green Panel Solar Energy Systems Ltd.
The Prospectus was approved by the Financial Supervisory Authority of Norway
(Nw.: Finanstilsynet) today, 13 October 2026.
Shares issued as a result of the transactions mentioned in items (i) to (iv)
above, have been issued under the Company's temporary ISINs and will following
publication of the Prospectus be transferred to the Company's ordinary ISIN
NO0013721613 and thus become immediately listed and tradeable on Euronext Oslo
Børs under the ticker symbol "OTOVO". Shares to be issued upon closing of the
remaining transactions mentioned in items (v) and (vi) are expected to be issued
on the company's ordinary ISIN and become immediately tradable upon closing of
the transactions.
