Notice to holders of notes with ISIN SE0016274195 and ISIN NO0011151144 issued under Resurs Bank’s MTN programme due to change of control

Following Ronneby UK Limited’s (the “Offeror”) public offer to the shareholders of Resurs Holding AB (publ) (“Resurs Holding”) on 17 June 2024, the Offeror has confirmed to Resurs Holding that the Offeror as of 9 September 2024 will become the owner of approximately 80 per cent of the shares and votes in Resurs Holding. The Offeror’s acquisition of the shares in Resurs Holding constitutes a change of control of Resurs Bank AB (publ) (“Resurs Bank”) pursuant to the terms and conditions of the notes with ISIN SE0016274195, with a total outstanding amount of SEK 750,000,000 and with loan number 117, and the notes with ISIN NO0011151144, with an outstanding amount of NOK 150,000,000 and with loan number 304, issued under Resurs Bank’s MTN programme (together, the “Notes”).

As a result of the change of control, each noteholder has the right to request the repurchase of all or part of its holding in the Notes at a price of 101 per cent. of the nominal amount together with accrued, but unpaid, interest to and including the Repurchase Date (as defined below). A noteholder wishing to exercise the right to request the repurchase of all or part of its holding in the Notes must sign and send an application form to the e-mail address below:

The application form will be sent by the Issuer to the noteholders via Euroclear Sweden’s messaging system (with respect to ISIN SE0016274195) and through Nordic Trustee AS in its capacity as agent (with respect to ISIN NO0011151144) and is also available by contacting Nordea (see contact details above). Please note that complete application form must be received by Nordea no later than 12:00 (CEST) on 3 October 2024 in order to be valid. Until then, noteholders have the right to withdraw submitted applications.

The repurchase date for noteholders who have given timely notice that they wish to exercise their right to request repurchase of all or some of their Notes due to the change of control is 31 October 2024 (the “Repurchase Date”).
