GRK Infra Plc OTHER INFORMATION DISCLOSED ACCORDING TO THE RULES OF THE EXCHANGE 2 July 2026 at 08.30 a.m. EEST
GRK Infra Plc ("GRK") announced on 30 June 2026 the completion of the acquisition of Keski-Suomen Betonirakenne Oy (the "Transaction") and its resolutions on directed share issues to the sellers (the "Consideration Share Issue") and certain other key persons (the "Incentive Issue").
In the Consideration Share Issue and the Incentive Issue together, GRK issued a total of 1,797,648 new shares, which have today been registered in the Trade Register maintained by the Finnish Patent and Registration Office (the "New Shares").
As a result of the registration of the New Shares, the total number of all registered shares in GRK is 42,766,879. The New Shares will be issued in the book-entry system (ISIN code FI4000517966) and registered to the book-entry accounts of the subscribers, after which the New Shares will carry shareholder rights in GRK.
Trading in the New Shares on the regulated market maintained by Nasdaq Helsinki Ltd is expected to commence on or about 3 July 2026, subject to the approval of the listing application.
