Reference is made to the stock exchange announcement made by Fjord Defence Group
ASA (the "Company") on 20 May 2026 at 23:04 CEST regarding inter alia the board
of directors' resolution to increase the Company's share capital with NOK
45,488,368.80 by the issuance of 5,415,282 new shares in the Company in a
private placement successfully placed the same day, 20 May 2026 (the "Private
Placement").
The share capital increase pertaining to the issuance of shares in the Private
Placement has been registered with the Norwegian Register of Business
Enterprises:
Share capital (new): NOK 580,867,274.40
Total number of shares (new): 69,150,866 shares
Par value of each share: NOK 8.40
Settlement of the shares allocated to investors in the Private Placement took
place on 26 May 2026 on a delivery-versus-payment (DVP) basis, with existing
shares in the Company admitted to trading on Euronext Oslo Børs facilitated by a
share lending agreement between the Company, the managers in the Private
Placement and certain large existing shareholders in the Company. The new shares
in the Private Placement will be issued to the Pareto Securities AS, acting as
settlement agent on behalf of the managers in the Private Placement, for the
purpose of settling the share loan.
A separate stock exchange announcement will be made upon registration of the
share capital increase pertaining to the issuance of the Consideration Shares,
which are conditional upon completion of the Acquisition (capitalized terms as
defined in the Company's announcement made on 20 May 2026 at 23:04 CEST).
