Aker Capital AS ("Aker Capital"), a wholly-owned subsidiary of Aker ASA ("Aker")
and a legal person closely associated with Frank O. Reite, a member of the board
of Aker BioMarine ASA ("Aker BioMarine"), has in accordance with previous
announcements entered into a forward contract with respect to 10,707,629 shares
in Aker BioMarine, comprising the shares for which acceptances were received
under the optional cash offer announced on 16 July 2026 (the "Cash Offer") that
will be settled by 20 August 2026.
Pursuant to the contract, the counterparty will acquire the shares comprised by
the Cash Offer with an obligation for Aker Capital to physically settle the
forward contract by 1 December 2026.
As of the date hereof, Aker Capital holds 69,065,940 shares in Aker BioMarine,
equalling 78.73% of the shares and votes in the company, and the shares
underlying the forward contract represent 12.21% of the shares and votes in the
company.
