Cadeler is active in the manufacturing industry. The company works with the manufacture and development of wind turbines. The product portfolio is broad and primarily includes the manufacture of off-shore wind power. In addition to the main business, after-sales service, support, maintenance and related services are offered. Operations are primarily held on a Scandinavian level. The company has its headquarters in Copenhagen.

If a little humor is permitted, the change seems excellent:  Under the A/S ticker, it felt like some force was constantly pulling the share price toward 50 NOK, but now that trading has started, it immediately pushed past 60 NOK.  All jokes aside, the report is due out in a good two weeks, so what could we expect from it? Will Q3 revenue be, for example, over $350M, or maybe even start with a 4? After all, the company has had a couple more vessels operating during Q3 compared to a year ago, so this really ought to show as a strong positive development across all lines.

New order coming in  Copenhagen, 4 November 2026 – Cadeler has signed a firm contract to support the transportation and installation of turbines at Dogger Bank C in the UK, the third 1.2GW phase of the world’s largest offshore wind farm in construction. Cadeler’s newbuild installation vessel, Wind Apex, will join the turbine installation campaign from Q3 2027, marking her first deployment following delivery from the shipyard  Cadeler Signs Firm Contract to Support Turbine Installation at Dogger Bank C :: Cadeler A/S (CDLR)  This is quite a massive project, and most importantly, it starts as early as Q3/27. So, this likely fills up a nice portion of the schedule for that period when the supply-demand balance is tight or there might be a slight oversupply of vessels. Very welcome news indeed, and the company strongly believes they will navigate that period quite comfortably as well. Additionally, an interesting detail here is that Wind Apex, now linked to the project, has been brought in as the second installation vessel for this SSE-led project. Although SSE has used Cadeler in a couple of previous projects, there are certain indications here of a potentially growing customer relationship. By the way, this will also be Wind Apex’s first gig right after the vessel is completed.

At this point, I can tell you that either the bicycle mailman, Jönssi and Dille from the loading dock, or Three-Finger Pena lost my letter from Nordea, and a compulsory redemption is imminent. Thanks, Nordea, and thank you for the lack of digital services. Looks like I’ll have to switch service providers.

It was stated right from the start that the remaining shares not accepting the exchange offer would be redeemed for cash. The number of shares to be redeemed could have been larger or smaller depending on the acceptance rate.

Surely the purpose of changing the domicile wasn’t to buy back own shares with debt, though. I wouldn’t be surprised if there’s a directed share issue in the near future to reverse the effects of that arrangement on the share count and debt.

Today, there was also a release regarding the final results (92.06% accepted). The redemption price was stated as 58.42 NOK (“volume-weighted average price (VWAP) of the Cadeler Shares on OSE over the 30 trading days immediately preceding the initiation of the Offer”). This part is interesting:  Following completion of the Offer, each Cadeler shareholder will hold the same  number of Cadeler plc shares as the number of Cadeler Shares (including Cadeler  Shares represented by Cadeler ADSs) validly tendered by such shareholder in the  Offer. As 7.94% of the Cadeler shareholders have not tendered and exchanged  their Cadeler Shares (including Cadeler Shares represented by Cadeler ADSs)  pursuant to the Offer, all shareholders who have tendered their Cadeler Shares  will following completion have their relative shareholding in Cadeler plc  increased by 8.62% compared to their shareholding in Cadeler.  The ownership stake of those who accepted the offer in the new parent company (plc) is 8.62% larger than in the old parent company (A/S). The end result is practically a large, debt-funded share buyback once the squeeze-out is finalized.   Google AI Not a Buyback Yet, But it Becomes a Debt-Funded Buyback Soon Currently, this is just a mathematical shift. Because 7.94% of shareholders stayed behind in the old entity, you now own a larger slice (up 8.62%) of the new parent company, Cadeler plc. However, Cadeler plc only owns 92.06% of the actual business. Your net ownership of the company’s real assets remains exactly the same. This changes during the upcoming squeeze-out phase. Because Cadeler plc crossed the 90% threshold, it is borrowing money from DNB Bank to forcefully buy out those remaining minority shareholders for cash. Once that process is complete, Cadeler plc will own 100% of the business. At that exact moment, the final outcome will function exactly like a debt-funded share buyback, leaving you with a permanently larger share of the entire company.  Maybe this was already clear earlier, but I hadn’t realized it myself. On the flip side, the net debt to EBITDA ratio will rise, according to the AI from around 3.6x → 4.0x (it has been wrong before, so it’s worth doing your own calculations). It will be interesting to see where the share price settles once trading begins around ~Thursday.

You can really tell that my broker, Nordea, has invested in AI and laid people off thanks to streamlined systems… or not, seeing as I had to fill out a paper form by hand and entrust it to our royal postal service. Hopefully, half-blind, three-fingered Pena at Nordea’s sorting center managed to open my letter and spot my acceptance of the corporate action. If not, I’m looking at a forced buyout at a bargain-basement price. There was no digital option available. Sorry for the vent, this belongs in the break room.
