Reference is made to the announcement made by Ocean GeoLoop ASA (the "Company")
on 31 August 2026, where it was announced that the Company's subsidiary Captured
AS ("Captured") had entered into a binding share purchase agreement to sell all
its shares in the subsidiary Ocean Tunicell AS to Lifecare ASA (the "Share
Sale").
All conditions for completion of the Share Sale have been satisfied or waived
and the Share Sale has today been completed.
As consideration for the Share Sale, Captured will receive new shares in
Lifecare ASA (the "Consideration Shares"). A total of 18,215,467 Consideration
Shares will be issued at a subscription price per share of NOK 0.287136. The
Consideration Shares will be subject to a lock-up period of nine months. For
