A word from the CEO
Dear shareholders, partners and stakeholders:
During the second quarter, we have taken several steps that strengthen our project portfolio to bring the company closer to the next operational phase, while at the same time laying the foundation for a more appropriate capital structure.
In Vintjärn, we have secured more time to complete the transaction with the properties Falun Vintjärn 6:47 and 6:49. The agreement with Lundgrens Åkeri i Svärdsjö AB has been extended for a further six months, with a new upper limit for final payment and transfer of ownership on 6 November 2026, while the company retains the right to conduct business on the properties. At the same time, I want to be clear that the financing of the tailings project in Vintjärn is not yet in place. The process has taken longer than we hoped, and uncertainty about when and on what terms the financing can be secured. We continue to actively seek solutions to get the business financed.
On May 6, we held our Annual General Meeting in Jönköping, where all proposals were adopted unanimously. Steven Din, myself and Per Skaug were re-elected to the Board of Directors, with Per Skaug continuing as Chairman, and the AGM resolved to reduce the share capital from approximately SEK 10.3 million to SEK 514,687 through allocation to non-restricted equity, without cancellation of shares. The decision, which was formalised through registration with the Swedish Companies Registration Office on 16 July, gives us a more appropriate capital structure and a better starting point for future funding rounds.
We also significantly strengthened our technical knowledge base during the quarter. The ground-based magnetic survey at the Sellnäs field and Tuna Hästberg have confirmed clear, coherent anomalies that in both cases coincide with historically producing iron ore areas. At Klintberget, we have also seen a combination of local magnetic anomalies and historically confirmed high levels of molybdenum, copper and silver. In June, the Mining Inspectorate extended the exploration permits for all three areas - the Sellnäs field, Tuna Hästberg and Klintberget no. 3 - which ensures our exclusive right to proceed with sampling and planning of drilling programs.
In addition to the work on our existing projects, we also continue to actively evaluate new opportunities, both in Sweden and internationally. The focus is on projects that fit into our dynamic growth strategy and that can act as catalysts for further financing and value creation in the company. This work is ongoing and is an important part of our long-term strategy.
Thank you for your trust and support.
Best regards,
Niclas Biörnstad
CEO, Nidhogg Resources Holding AB (publ).
