Fodelia is operated as a holding company with operations in the food industry. Within the group there are several subsidiaries, each with a business focus that offers a range of snacks and ready-made meals. The products are sold through retailers and wholesalers. The largest operations are in the Nordic market. The head office is located in Pyhäntä.

Jokunen vuosi sitten Fodelia tehnyt sopimuksia Pilke päiväkotien kanssa, käytännössä koko ketjun laajuudelta Osa toimipaikoista on jouduttu sulkemaan, vaikuttanee jonkin verran myös Fodelian tuotemenekkiin. Ketju kuitenkin ilmeisesti muutosten jälkeen taas kannattavassa kunnossa ja uusia paikkoja kartoitetaan. Suomen suurin yksityinen varhaiskasvatusketju Pilke päiväkodit on kohdannut 2020-luvulla suuria haasteita. Alaa ravistelevat monet tekijät, mutta yhtiön tilanne on tuoreen toimitusjohtajan mukaan tällä hetkellä hyvä. Katse on asetettu jo kasvuun.                              Suomen suurin yksityinen varhaiskasvatusketju Pilke päiväkodit on kohdannut koronavuosien jälkeen suuria haasteita. Päiväkoteja on jouduttu myymään ja sulkemaan tänäkin vuonna. Yhtiön uutena toimitusjohtajana aloitti elokuussa Anu-Elina Hintsa. Miten Pilkkeellä juuri nyt menee? ”Tällä hetkellä tilanne näyttää ihan hyvältä, mutta ei se helpolla ole tullut”, Hintsa vastaa. Pilkkeen hallussa on yhteensä 210 päiväkotia, esikoulua ja iltapäiväkerhoa, mikä tarkoittaa vastuuta yli 12 000 lapsen hoitamisesta.

Ei kannata lisensoida kun valmistusmenetelmän voi kopioida ilmaiseksi eli lisenssimaksuja maksamatta. Ei ole rakettitiedettä tämänkään ruoan valmistaminen. Rakenna tehdas, osta laitteet, kouluta henkilökunta ja aloita valmistustoiminta. Näin siis tilanne ostajan näkökulmasta jos Yhdysvalloissa tällaiseen ratkaisuun päädyttäisiin kouluruokailussa. Samasta syystä ei Apetit myöskään voi lisensoida pakasteherneiden valmistusmenetelmää, koska ei siinä ole mitään uniikkia (vaikka vaatiikin toki paljon osaamista). Jonkin kertaluonteisen konsultointisopimuksen ehkä voisi pystyä myymään. Tai loppuasiakkaille suunnatun ruoan tilaussoftan kk-maksulla. Jos tämä edellyttäisi myyntihenkilöstön palkkaamista Yhdysvaltoihin ja paikalliseen lainsäädäntöön tutustumista osavaltiotasolla, kustannuksia tulee helposti valtavasti myyjälle. Olisiko siten edes teoriassa kannattavaa jos ei saada miljoonien dollarien vuosimyyntiä kasaan, vaikea sanoa. Järkevä ehdotus kyllä Trumpin hallinnolta jos kouluruokailu olisi Suomen tasoista. Nythän siellä ylipainoiset lapset usein koulun ruokatauolla syövät sipsejä, erittäin kaloripitoisia majoneesivoileipiä ja juovat Cokista ym.

Kouluruuan kehittäminen Yhdysvalloissa kärsii muun muassa tilojen ja osaavan henkilökunnan puutteesta.                             Trumpin hallinto haluaisi ultraprosessoidun ruoan tilalle kunnon ruokaa, mutta ei ole henkilökuntaa, joka osaisi valmistaa. Fodelialla olisi tähän ratkaisu. Voisiko valmistusmenetelmän lisensoida?

In addition to the previous observations, it should also be noted that Lunden’s CEO and CFO have also become private shareholders in Fodelia during the summer, in addition to their holdings through Oy Lunden Ab. Both hold the exact same stake of 5,617 shares. As for speculation about some kind of corporate raid (nurkkaus), the stake sold by Ojala would have provided a good opportunity for it in early summer. However, that stake was sold mostly to Germany in early June.

Interesting find. Lunden is a company of such scale (2026 revenue EUR 119m, EBIT EUR 6.3m) that in theory, they could have the financial muscle even for a complete acquisition. The family-owned company also seems growth-oriented, although recent acquisitions have been clearly smaller in scale. On the other hand, this could very well be purely a portfolio investment. Lunden also owns shares in HKFoods, for example.

When reading the list of largest owners, it caught my eye that Oy Lunden AB entered the lists as the 16th largest owner during August.
