What contradiction do you see there? Aren’t tender offers normally better than the fair market price?

I haven’t really been answering calls from unknown numbers, so I haven’t received such a call myself, unlike many others. In that sense, it’s quite contradictory to call around claiming the share price will drop to four euros, when the buyer themselves is offering 5.70 euros. Personally, I’m not interested in a short-term investment horizon anyway. I’ve already put up with this ticker’s stagnation for years. I’m down enough that I’d rather see my hand through to the end than start listening to doomsday scenarios. There’s action on the bid side again. It looks like a larger block just went through.

I received another call just today; a polite man introduced himself and explained his case, stating that the share price would likely drop to four euros if the takeover bid does not go through. We talked for a bit, and I told him I am not considering selling. I’ve held these shares for years and they are currently at a loss, and I don’t mind even if it goes down to four euros. If someone wants to buy this badly, the company clearly has growth potential. I’ll let time pass and see this through to the end.

These should already be reported to the FIN-FSA (Fiva). I assume those calls are being charged to the consortium that made the takeover bid. The company surely cannot sell itself, and are the board members now disqualified (esteellisiä) from certain actions? There are two players there who are also on the side of the bidding consortium. On both sides?

The forum seems very annoyed right now by the calls from the potential buyer. They are even using scare tactics, saying the share price might drop… And supposedly, these questionable calls should be recorded. Shouldn’t a buyer take every possible action to try and improve their position? I’m sure they can call through the entire shareholder list if they want to, as it is public information after all. Just like I could start ringing through the list if I happened to have some business with them. If one thing is for sure, it is absolutely certain (Matti Nykänen), that the share price will drop significantly from here if the tender offer is cancelled. There’s no point in being upset that “they even said so on the phone,” because it is a fact. The previous interim report is certainly not the kind of thing that would sustain the share price at these levels without the currently valid tender offer. Those who are already down tens of percent on the stock will just have to live with the fact that it will then be down a bit more. And yes, I haven’t accepted the tender offer either. I’m mainly waiting for a raised bid so I can get rid of it at a better price. I can’t be bothered to deal with any more shenanigans with this one. It has been a real headache of a stock, and it likely will continue to be under this management, even though my current holdings are about +60% in profit. If the tender offer doesn’t proceed, the next thing we’ll be doing is updating and wondering on the forum about some new “wonderful” Pericius 2 deals or other such nonsense.

I got the same call. I only have 500 shares in the bin, so they are calling retail investors as well. I didn’t have time to chat. He said he was calling regarding the tender offer. I replied that I’m familiar with the matter, I’m not interested, and ended the call. In my case, the change in value compared to the purchase price is -68%, so they would have to triple the offer for me to break even.
