Press release 17 May 2022
At the Annual General Meeting of EnergyO Solutions Russia AB (the "company") on 17 May 2022, which was conducted solely through postal voting pursuant to temporary legislation, the following resolutions were made. All resolutions were in accordance with the submitted proposals, described in detail in the general meeting documents available on the company's website, www.eos-russia.com.
(a) The income statements and balance sheets of the company and the group for the financial year 2021 were adopted.
(b) All available funds were carried forward and no dividend declared for the financial year 2021.
(c) The members of the Board of Directors and the Chief Executive Officer were discharged from liability for the financial year 2021.
(d) It was resolved that the number of directors shall be three, without deputies, and that the company shall have one auditor, without deputies.
(e) It was resolved that the remuneration for the Board members shall be SEK 840,000 to be distributed with SEK 280,000 to each of the Board members. It was further resolved that the auditor's fees shall be paid as per approved invoice.
(f) Seppo Remes and Christopher Granville were re-elected members of the Board of Directors and Peregrine Moncreiffe was elected new member of the Board of Directors for the period until the end of the next Annual General Meeting. Johan Elmquist declined re-election. Seppo Remes was re-elected Chairman of the Board of Directors. Öhrlings PricewaterhouseCoopers AB, with Magnus Svensson Henryson as auditor in charge, was re-elected auditor.
(g) It was resolved to adopt new Articles of Association, whereby the company's name is changed from EnergyO Solutions Russia AB to EnergyO Solutions Invest AB.
