If the share price drops, one can see it as the purchase price “decreasing” accordingly, but at the same time, all owners become poorer due to the price decline. And when the company’s share price then recovers upward, should we correspondingly think that “yuck, the purchase became expensive while my own portfolio grew”? I don’t see this as a very fruitful perspective from an owner’s point of view.\n\nThe fact that part of the purchase price is paid in own shares mainly indicates that the seller believes, at least to some extent, in the company they are selling and in the future of the newly combined entity. At the same time, it commits the incoming employees (those with options, etc.) to the new entity.

Since it was a fixed number of shares and not, for example, a transaction term where a certain amount of Euros is paid in shares, isn’t staring at a single moment’s stock price a bit silly? If we imagine that Dell would hypothetically rise 100% today, then one could argue again that boy was it expensive to pay the purchase price in shares, and the same goes the other way of course, though perhaps not -100%… The stock price does have an impact on the figures in that, at a higher stock price, the purchase price is technically higher, which results in a higher goodwill on the balance sheet side, but as already stated above, this has no effect on cash flow. At a lower stock price, the effect is naturally the opposite.

Admittedly, had I known my message would lead to you accusing me of deliberate lying aimed at gaining financial benefit at the expense of other investors, I would have left it unwritten. I generally write fact-first and try to verify my facts before posting, not least because I know many detractors read my posts with a fine-tooth comb and strike immediately if they find any glaring factual error. But here, the talk about facts was just a smoke screen, as you also imply in some of your replies, because the real sticking point was the non-seriousness of the communication. I often pepper my texts with easily recognizable humor, partly because it is an effective communication tool and partly because we are on the internet, not at a bank teller’s counter. Algorithmic social media and the press constantly pump the entire internet full of negativity-cancer, souring everyone’s lives and causing depression and suicides, so I think it’s great there are still a few pockets of resistance here where not everything has to be so unpleasant and serious. That’s why I created the current investment meme thread myself and often make content there, of which an infinitesimal fraction relates to my own investments. In general, micro-cap investing on the internet has always been associated with a carnivalistic vibe and big emotions, as things constantly happen and unfold either in the share price or the company’s business. That’s how it was before the Inderes forum and that’s how it will be after it. That’s why your talk of calculated malice hits a nerve. When you lose money in investing, you’re supposed to joke about it twice as hard—that is precisely how one should act. And at least for now, dried turnips (kuivatut lantut) are more amusing than lost money hurts. I can, of course, reduce my writing regarding this stock and referencing it in other threads, because it’s no longer fun at all if every single post requires a meta-analysis of how many new pump-and-dump accusations it will trigger in the threads or in private messages.

Maybe I’m channeling my inner Wall Street Emperor here, but I genuinely don’t get it. When the acquisition was announced, the press release stated the purchase price was 26 MUSD. On Friday, the deal went through, and the final price was 20.35 MUSD. On top of that, there was a real risk that the seller would put on the brakes and demand some kind of extra payment because the share price dropped so sharply after the negotiation outcome. The seller lost millions before finalizing the acquisition, which they surely thought they had secured when negotiating the sale of their company at a 26 MUSD price tag. It wouldn’t be the first time an acquisition falls through right at the finish line due to significant market turbulence or stock price fluctuations. I also genuinely don’t understand what you’re trying to get at with these messages of yours.

Although a rise in the share price is of course always the best thing for shareholders, excessive use of directed share issues or warrants can also limit the share’s upside potential, because the number of shares outstanding also matters. On discussion forums, people naturally rejoice over a rise, no matter how it happens.  A company can decide how acquisitions are financed, and that also has a real impact on the company’s ultimate value, even if nothing else changes. A simplified example: Turnip companies A and B both decide to expand into the date business. Turnip company A buys a date company worth 10 MUSD by taking on an equal amount of debt, whereas Turnip company B buys it with its own shares. The turnip fly causes a turnip pandemic, and the value of the turnip business goes to zero. Company A: -10 MUSD in debt + 0 MUSD turnip business + 10 MUSD date business = a company worth 0 MUSD  Company B: 0 MUSD turnip business + 10 MUSD date business = a company worth 10 MUSD In this example, Company B created 10 MUSD in value by deciding to finance its acquisition with its own shares. Using one’s own shares in acquisitions can create or destroy value. With the benefit of hindsight, it would have been good for the owners if the entire acquisition could have been made using their own shares.  Literally, this stock has received the most mocking over the past five years, and following the rapid halving that happened a moment ago, I do not recognize this positive general tone you are describing. In my opinion, the drop in the share price to ATL (all-time low) levels as a reaction to slowing growth in the Nordics is in itself a signal that retail investors’ confidence in the stock is close to zero.
