Hamilton, Bermuda, August 25, 2026: The Board of Directors of Borr Drilling Limited (the "Company") (OSE and NYSE "BORR") has resolved to grant 1,461,750 Restricted Stock Units ("RSUs") and 1,409,250 Performance Stock Units ("PSUs") to certain of its employees. Each RSU and PSU represents the right to receive one share in the Company. The RSUs will vest annually in three equal tranches starting on September 1, 2027, and are conditional on the recipient being in continued employment at the relevant vesting date. The PSUs will vest on September 1, 2029, provided that certain performance criteria are met and is conditional on the recipient being in continued employment at the relevant vesting date.
Persons discharging managerial responsibilities ("PDMRs") in the Company, as defined by the (EU) Market Abuse Regulation, have been granted and accepted RSU and PSUs as detailed in the attached forms of notification and public disclosure.
