Lysaker, 7 May 2025Reference is made to the stock exchange announcement by AMSC ASA (under liquidation) (AMSC) on 6 May 2025 that the conditions for distribution of dividend-in-kind in the form of 91,422,601 shares in Solstad Maritime ASA (previously Solstad Maritime Holding AS) (SOMA), as resolved AMSC's annual general meeting on 24 April 2025, had been satisfied. The shares in AMSC will be traded ex dividend of 1.272 shares in SOMA per share held in AMSC (rounded down to the nearest whole number of shares) from today, 7 May 2025. Record date is 8 May 2025. In the event there are shares remaining after rounding, such shares will be sold by AMSC for cash in the market without direct compensation to shareholders. Proceeds from such sale will be part of the final liquidation payment to shareholders.Further, for shareholders subject to withholding tax, a portion of the dividend shares will be withheld and sold by AMSC for cash in the market to cover such tax.The dividend will be paid (with delivery to VPS accounts) no later than before start of trading on the first day of listing of SOMA's shares on Euronext Oslo Børs, which is expected on or about 16 May 2025. The shares in SOMA will be tradable on Euronext Oslo Børs from the first day of listing of SOMA.
