Purmo's offer period extended until mid-July

Purmo announced this morning that the consortium Project Grand Bidco, which has made a tender offer for the company's shares, will extend the offer period until July 15. This is due to the fact that the regulatory approvals will not be obtained by the previous deadline (June 20), but the bidder expects to obtain them at the beginning of July. At the same time, the extension of the offer period will allow more time for a possible competing offer from Haier, whose non-binding offer was first announced at the end of May.

Partly priced by the market at a higher offer

The current offer from the consortium of private equity investor Apollo and Rettig (Project Grand Bidco) is EUR 9.91 for all parties except Rettig (who will be paid EUR 8.91). Haier's non-binding and preliminary interest is to offer EUR 11.0 per share. However, Haier has not yet formally announced its intention to make a tender offer. More than 90% of the shares have already been committed to the tender offer by the Apollo and Rettig consortium, so in the absence of a higher offer, the deal is likely to be completed in July, after regulatory approvals have been obtained. However, those who have committed to the offer may withdraw their commitment if a higher offer is made for the shares. The current market is partly valuing a higher offer, with the share price hovering around EUR 10.5, which seems to us to be a relatively reasonable price in the current situation. The extension of the tender offer also means that Purmo's Q2 results, which are due on July 17, will be reported before the tender offer closes.
