Suominen is a manufacturing company. The company manufactures and develops a wide range of wipes, hygiene products and medical applications. The manufacturing is based on non-woven fabrics that can be used for various purposes. Customers are found in several industries, with the largest operations in Europe and North America. The company has its headquarters in Helsinki.

Trading in Suominen shares currently looks interesting, as the “old” share is trading at €0.6 per share while the “new” share can be bought for around €0.5 per share. Of course, one can also perform “arbitrage” through subscription rights (merkkarit). For many shareholders, a small rotation could be profitable, and it certainly isn’t very wise to make additions at a 20% higher price. There has been some volume in the “old” share, so at least some people have been engaging in this.

So far, there have been three notifications of managers’ transactions (Chairman of the Board, CEO, and a Board Member). It appears that all three have subscribed for 42.86% of their share. Additionally, the CEO and the Board Member have purchased individual units of subscription rights. Have I understood this correctly?

Let’s post Pyysing’s blog here, because Suominen is mentioned in it.   Suominen’s Rights Issue Tomorrow, Monday June 15th, Suominen Corporation’s good old subscription rights issue begins. Suominen’s nonwovens have been performing poorly for a long time, and dipping into the owners’ pockets is clearly necessary. The offering is in the heavy middleweight category, as three old shares entitle you to four new ones at a unit price of €0.36. This means that 57% more new shares will be issued. Which is quite a lot. In the 1980s, Kansallis-Osakepankki and Suomen Yhdyspankki asked the public for money every couple of years, typically requiring one new share to be subscribed for every three or four old ones. Additionally, wealthy older gentlemen and “poodle ladies” were swindled in these contexts with “bonus issues” (rahastoanti), where they were supposedly given “free shares” in connection with the actual rights issue. Here is a company report from Pauli regarding the rights issue.   Suominen is currently conducting a rights issue. We have updated the impact of the offering into our forecasts, but our operational assumptions remain unchanged. The issue will fund Suominen’s turnaround program, which we believe will help the company return to profitability in the coming years following recent losses. However, even considering this, the valuation remains expensive. We reiterate our Reduce recommendation and adjust our target price to EUR 0.6 (previously EUR 0.62, adjusted for the share issue). There hasn’t been any major chaos yet; the bid side is at 57 cents and the ask side is at 85 cents. Volume is starting to reach a decent level, and soon we’ll break the magical €1,000 limit in daily turnover.
