Xer Tech Holding AB (publ) ("Xer Tech" or the "Company") announces that it has signed an engagement letter with Carlsquare, appointing Carlsquare as financial adviser to the Company. The mandate comprises support in identifying and evaluating potential acquisition opportunities, and advice on financing alternatives, including a potential capital raise.
Xer Tech's strategy is to grow through a combination of organic development and selective acquisitions. Acquisitions can add capabilities, customers and market access more quickly than organic development alone, and the Board sees an increasing number of opportunities in the Company's addressable market.
"Demand in our end markets is developing quickly, and acquisitions are an important part of how we intend to build the Company. We want to be in a position to act when the right opportunity presents itself, particularly where a transaction can add capabilities, customers or market access. Carlsquare gives us experienced advice in evaluating those opportunities and the financing alternatives available to us," says Erik Herlyn, CEO of Xer Tech.
Against this background, the Board has decided to engage an external financial advisor in order to assess acquisition opportunities that could strengthen Xer Tech's offering, capabilities and market position, and to evaluate the financing alternatives that would allow the Company to act on them.
The Board of Directors has not entered into any agreement regarding an acquisition and has not taken any decision to carry out a capital raise, nor regarding the size, structure, terms or timing of any such capital raise. There is no assurance that the engagement will result in an acquisition, a capital raise or any other transaction. Any resolution that requires shareholder approval will be submitted to a general meeting in accordance with applicable law and the Company's Articles of Association. The Company will provide further information if and when there is cause to do so.
