Here are Joni’s comments regarding Vincit’s acquisition of the business operations of Data Clinic Oy, a company specialized in data and analytics solutions  Vincit announced on Tuesday that it is acquiring the business operations of Data Clinic Oy, which specializes in data and analytics solutions. We consider this small bolt-on acquisition a logical step in Vincit’s strategy, as it strengthens the company’s capabilities in the rapidly growing data and AI segment. Acquiring a small target also reflects the challenges of recruiting such expertise directly from the market. In our assessment, the valuation of the acquired business is moderate relative to the expertise and earnings multiples, but the small scale of the acquisition and the associated risks limit the justifiable valuation in our view. Based on our understanding, the purchase price could still rise relatively significantly through earn-outs, which would simultaneously increase the risk level. The acquisition creates slight upward pressure on our forecasts, and we will include the deal in our projections during the next update. The business acquisition strengthens Vincit’s offering and expert capacity in the rapidly growing field of data and AI solutions. With this acquisition, Vincit will be even better positioned to help its customers transform business-critical data into measurable competitive advantage and an enabler for AI solutions, particularly within the SAP and Microsoft ecosystems. Founded in 2023, Data Clinic Oy is an expert company that helps its customers utilize fragmented data in decision-making and create a sustainable foundation for data-driven business. The company specializes in modern Data Lakehouse solutions on Microsoft Fabric and Databricks cloud platforms. The revenue of the acquired business in 2025 was EUR 1.0 million and the EBITDA was EUR 0.2 million. Following the acquisition, Data Clinic’s founding team and experts (9 people in total) will transfer to Vincit. The implementation of the arrangement is expected to take place by 15 June 2026 at the latest. Structure of the business acquisition The debt-free purchase price of the business is EUR 1.0 million. 85 percent of the purchase price (EUR 850,000) will be paid in cash and 15 percent (EUR 150,000) in Vincit Plc shares. The share portion will be transferred to the seller from the treasury shares held by Vincit. The cash portion will be financed with Vincit’s existing cash reserves. In addition to the fixed purchase price, the arrangement includes a conditional additional purchase price (earn-out). The earn-out is tied to the revenue development of the acquired business in 2026, and it will be paid entirely in cash 12 months after the implementation, provided that the set targets are achieved.

The market has been extremely difficult in the IT services sector, but in Vincit’s case, the company’s board really needs to look in the mirror. If the share price drops 90% in five years, the board must engage in some serious soul-searching: Is the strategy correct? How do we actually differentiate ourselves in the market? Is the management the right one?
