Tieto is a Nordic provider of digital services and software founded in 1968. The company is headquartered in Finland and employs experts worldwide. It serves thousands of private and public sector customers in nearly 100 countries.

The success of a counterclaim requires the same standard conditions as the success of a primary claim; therefore, insofar as it succeeds, it could have been brought as a primary claim as well. If both parties have claims against each other, it may be a matter of chance which one initiates the legal proceedings as the plaintiff of the primary claim and which one responds as the defendant and counter-claimant. Of course, a counterclaim can also sometimes be used as a means of pressure to reach a settlement. All of this is on a general level; I know nothing about the case at hand.

So, could it be thought that without that 10 million claim filed by Tieto, that 110 million counterclaim from JS BidCo wouldn’t have happened? In my opinion, these counterclaims for absurdly large sums are presented as a kind of “defensive measure,” based on following previous cases. Could it be just lawyers’ maneuvering when trying to build a case against the demands!?

Now the Tech Services business divestment—the “500 MEUR” business that was sold for 300 MEUR—is in its final stretch.  Tieto claims that 10 MEUR is missing from the price according to the terms, while the buyer, according to their own calculations in their response, claims that Tieto should pay them 110 MEUR. The Board has now completed its evaluation of a potential delisting. The evaluation included a review of the benefits and costs of the Nasdaq Stockholm dual listing and an overall assessment of what is in the best interests of Tieto and its shareholders. Based on the evaluation, the Board has decided that Tieto will maintain the listing of its shares on Nasdaq Stockholm. In its assessment, the Board noted that while simplifying the listing structure would support the company’s overall simplification plan, the additional benefits of a potential delisting are limited and do not warrant delisting. The Board also assessed the importance of continuing operations in the Swedish capital markets, strengthening visibility among Swedish investors, and maintaining index eligibility. The Board notes that the delisting from the Oslo Stock Exchange, approved by the Annual General Meeting on March 24, 2026, supports Tieto’s simplification plan.
