SEB's Nomination Committee's proposal to the Annual General Meeting 2026

The Nomination Committee of Skandinaviska Enskilda Banken AB's proposal for board members to the annual general meeting 2026 is the re-election of Jacob Aarup-Andersen, Signhild Arnegård Hansen, Jan Erik Back, Anne-Catherine Berner, John Flint, Svein Tore Holsether, Eva Lindholm, Lars Ottersgård, Johan Torgeby and Marcus Wallenberg, and the election of Martina Wallenberg. Winnie Fok has declined re-election.

Martina Wallenberg (born 1989) is currently employed by Skandinaviska Enskilda Banken AB (SEB) and has held several positions within SEB during the last eleven years, amongst those as manager within the areas of strategy and digitalisation. Martina Wallenberg holds a Bachelor of Art, with emphasis on business, from University of Colorado Boulder and is a Swedish citizen. 

The Nomination Committee considers Martina Wallenberg to be a suitable candidate to the SEB board. Martina Wallenberg's background, education, and work experience make her a valuable addition to the board. In addition, Martina Wallenberg also represents the next generation of the Wallenberg family, and her engagement on the board will further strengthen the long-term owner-engagement that the family has demonstrated for generations. Martina Wallenberg will leave her employment with SEB if she is elected.

All board members are considered independent in relation to SEB and the management of SEB, except for Johan Torgeby and Martina Wallenberg. All proposed board members are considered independent in relation to the major shareholders of SEB, except for Marcus Wallenberg and Martina Wallenberg. Martina Wallenberg is considered to be not independent in relation to SEB due to her current employment and in relation to SEB's largest shareholder Investor AB, due to an upcoming engagement with Wallenberg Investment AB.

The complete proposal for the Annual General Meeting will be announced in connection with the notice of the meeting. The notice is scheduled to be published in February 2026.
