<pre>Reference is made to the extraordinary general meeting in Philly Shipyard ASA (under liquidation) (the "Company") on 19 February 2025 where the general meeting resolved to liquidate the Company. The Company's board of directors has in accordance with the Norwegian Public Limited Liability Companies Act section 16-9 resolved to distribute a liquidation dividend to its shareholders. Key information relating to the liquidation dividend is set out below: o Dividend amount: USD 0.86 per share o Declared currency: USD (please note that the dividend will be paid out in NOK) o Last day including right: 6 June 2025 o Ex-date: 10 June 2025 o Record date: 11 June 2025 o Payment date: On or about 20 June 2025 o Date of approval: 3 June 2025 Other information: The Board of Directors has in accordance with section 16-6 of the Norwegian Public Limited Liability Companies Act prepared a liquidation balance sheet as of 30 April 2025. The liquidation balance sheet has been audited by the Company's auditor. Both the balance sheet and the auditor's report are attached hereto. The liquidation balance sheet will also be distributed to the shareholders of the Company and is available at the Company's registered office as required by the Norwegian Public Limited Liability Companies Act. This information is published in accordance with the requirements of the Continuing Obligations and the disclosure requirements set out in the Norwegian Securities Trading Act section 5-12. </pre>
