Reference is made to the stock exchange announcement dated 13 September 2023
regarding the resolution by the extraordinary general meeting of Pareto Bank ASA
(the "Bank") to approve the share capital increase in connection with the
private placement which was successfully placed on 22 August 2023 (the "Private
Placement").
The shares allocated in the Private Placement will be settled with existing
shares in the Bank borrowed from Pareto AS pursuant to a share lending agreement
between the Bank, Pareto Securities AS and Pareto AS. Settlement will take place
before registration in the Norwegian Register of Business Enterprises of the
share capital increase pertaining to the issuance of the new share to be issued
in connection with the Private Placement (the "NRBE Registration").
Following settlement of the Private Placement, Hjellegjerde Invest AS controls
3,803,301 shares and votes in the Bank, corresponding to 5.44% of the shares and
votes in the Bank prior to the NRBE Registration.
Assuming that the number of shares held by Hjellegjerde Invest AS remains
unchanged, Hjellegjerde Invest AS' shareholding in the Bank will decrease to
4.95% of the shares and votes upon the NRBE Registration. A separate disclosure
of shareholding will be made if applicable following the NRBE Registration.
