The stock was available very cheaply when the news broke. Of course, we bought more when we could get it cheaply relative to the indicated offer price. We emphasize the board’s duty of care and loyalty to ensure that competing offers are given a fair chance to succeed.”

If you are referring to Nieminen’s filing for exceeding the 10% ownership threshold, then I agree. I don’t know about Dubai, but it’s easy to believe that nightmares could arise. Ravichander, Fitzroy, and Luminos have certainly played their cards very skillfully. They already had a base of 46.7% of the shares even before the tender offer. They only need 3.3% for a majority, which is an excellent position to push for a higher offer for Tecnotree. This is a good situation for other investors as well. Today we will hear the preliminary acceptance status, and on July 20th we will hear the final one. The preliminary status will likely have a slightly higher acceptance rate, as perhaps not all withdrawals are included in it yet. I hope that as many as possible of those who already accepted the tender offer realized to withdraw their acceptance. It is a pity that investment recommendations are not allowed on this forum. Now that the offer period has already ended and acceptance can no longer be withdrawn, I suppose one can already write that it was worth withdrawing the acceptance because a better price could be obtained from the market.

My theory is that when the acquisition offer failed, they moved on to Plan B. Why miss the opportunity when you can publish an anonymous, non-binding, and vague “competing” offer? “Resilience” managed to collect more shares from the market again, and at the same time, the value of their holdings can be pumped up. It seems extremely unlikely that “Resilience” would sell their own dynasty and cash cow to a completely external party. Most likely, this offer too will soon be forgotten, and the matter will never be revisited.

Conversely, a different kind of bubble was being blown in 2020-22 by announcing all kinds of “humor deals” made with Nigerian scammers, shell companies, and the “Dubai Sports Council.” The CEO added fuel to the fire by talking about a “market cap of a billion in 5 years.” On discussion boards, everyone bought into everything Padma declared, celebrating every press release and some “NFT & Metaverse” award handed out in Dubai. Even if that Canadian interest results in an offer at the high end of the range, I suspect Finnish retail investors are still down by an eight-figure sum on this whole saga. There really is a night-and-day difference between the company’s disclosures from 2020-23 and the last 12 months. There is indeed no need to pump the tires when there is a takeover bid on the table from competent management. They have been having nightmares in Dubai for years about the Finnish activist investor.

A guy at Nordnet told me over the phone that if the cancellation message is sent on time, it doesn’t matter if they haven’t had time to type it into the back office system yet. I also believe there are plenty of cancellations.

By the way, this didn’t necessarily happen, even if there was a desire to do so.  The validity period of the tender offer expired today at 4:00 PM.  Quite coincidentally, the Canadians’ acquisition intentions were announced on July 13th after the stock exchange had already closed and outside of business hours.  I argue that at least not all acceptances were canceled in time, even if there had been a desire to do so.  It takes time for brokers to process those, after all.
