Fiskars Corporation's directed share issue without consideration based on the Ownership Plan 2023

The Board of Directors of Fiskars Corporation has decided on a directed share issue without consideration based on the company's Ownership Plan 2023 ("Plan"). In the share issue, 81,755 treasury shares are issued without consideration as the reward under the Plan to the eligible participants in accordance with the terms and conditions of the Plan.

The company has a weighty financial reason for the deviation from the shareholders' pre-emptive right since the company has an obligation to issue the shares to the participants, and the purpose of the Plan was to align the objectives of the shareholders and the key employees for increasing the value of the company in the long-term and to retain the key employees at the company by offering them a competitive incentive program.

Information about the launch and the terms and conditions of the incentive plan have been published in stock exchange releases on February 7, 2023 and February 8, 2024.

The decision on the share issue is based on the authorization granted to the Board of Directors by Fiskars Corporation's Annual General Meeting of Shareholders held on March 11, 2026.

The shares will be delivered to the eligible participants of the Plan on April 30, 2026 at the latest.
