Digital Workforce Services Plc’s transfer of own shares to share-based incentive plan’s reward recipients
Digital Workforce Services Plc has today, based on the resolution of its Board of Directors, transferred without consideration 28 608 own shares held by the company to participants of the Performance-based Matching Share Plan’s performance period 2023—2025, for payment of rewards in accordance with the plan terms.
Performance-based matching share plan’s performance period 2023-2025 was first announced in a company announcement of February 1, 2023.
The transfer of own shares as a directed share issue without consideration is based on the authorisation granted by the Annual General Meeting of shareholders held on 10 April 2025. There is an especially weighty financial reason, from the company’s perspective and considering the interests of all its shareholders, to deviate from the shareholders’ pre-emptive subscription rights in the directed share issue without consideration. This is based on the target of the Performance-based Matching Share Plan, meant to engage the key persons in long-term activities, increasing the shareholder value.
After the transfer of shares, Digital Workforce Services Plc holds 243 139 own shares.
