The largest owners apparently disagreed with the board on the method of raising funds. Is it correct that the board needs over 50% of the individual votes among themselves to make a proposal, but in the general meeting, over one-third of the voting power is enough to oppose the decision? So it could also be that some on the board were against the proposal and managed to defeat it only at the general meeting. Sentiment in these small companies is now at an all-time low, and it might be a bad time to raise money, yet. There has been talk of loan capital before. Who knows on what terms and under what pressure Aiforia would be able to acquire such. Annual General Meeting 2025: “The maximum number of shares to be issued under the authorization may be a total of 5,000,000 shares… However, the authorization does not override previous authorizations granted to the board for the issuance of special rights entitling to shares.” Directed issues were made in 2025, first 2.5M and later in the year 2M. 0.5M remains. Annual General Meeting 2024: “The maximum number of shares to be issued under the authorization may be a total of 3,500,000 shares… However, the authorization does not override previous share issue authorizations.” Directed issue 5/24: “With the share issue, the Company will issue a total of 2,843,851 shares.” Approximately 0.65M remained. I did not look further back in history. So, just over a million shares can still be directed to issues by a board decision, which at the current share price won’t get very far. The largest owners have probably had some idea of how their ownership will also be secured.

I’m linking the mentioned Kauppalehti discussion thread here, even though I don’t consider it a reliable source: Aiforia | Sivu 21 | Kauppalehden keskustelupalsta I’m not sure how credible it is that a 3% ownership stake can push anything through, especially with the current possibility of advance voting, which doesn’t require physical presence. I believe nominee accounts and pension companies will ensure their voting rights are exercised. Could the explanation then be that truly large owners wanted to prevent further share dilution based solely on a board decision, placing it under the responsibility of an extraordinary general meeting to get proper justifications for the need from the board? If one shareholder could, by merely speaking up, bring about such decisions against a board proposal, then it must be said that Aiforia’s board would be a truly amateurish group of hobbyists .

On the KL discussion board, in the Aiforia thread, a user named Aksolotli shed light on the matter yesterday at 7:17 PM, so it might be worth reading it there. “There will be a quick EGM where the matter will be corrected…” I believe this myself.

There’s no sense in not approving the authorization unless there’s an alternative plan to finance growth. A loan is, of course, out of the question, so that leaves some kind of corporate restructuring? Edit, adding: … or partnerships that include financial elements. If the old plans are to be continued, i.e., with equity financing, then a new general meeting will indeed be required now.

If a share issue is desired, an extraordinary general meeting must first be held to authorize the board to arrange a new share issue. It’s quite strange that approval was not given, as the funds are definitely not sufficient until the next general meeting.
