With reference to company announcement no. 4 of June 16, 2023 regarding the warrant program for the chairman of Dataproces Group A/S and company announcement no. 3 of May 16, 2023 regarding the new management and warrant program, it can be reported that chairman HC Maarup and CEO Michael Binderup have today chosen to subscribe for new shares in accordance with the terms of the agreement.
In this regard, the share capital has been increased by a total of 300,000 new shares at a nominal value of 0.02 DKK each.
Dataproces' share capital now amounts to a nominal 684,000.84 DKK distributed over 34,200,042 shares at a nominal value of 0.02 DKK per share.
In addition to the warrant agreement, the board has approved that both are partially released from their lock-up period of 12 months, which they are subject to in the warrant agreement. Thus, it is approved that they can sell up to 50% of the newly subscribed shares in order to cover the tax they incur when exercising their warrants.
