Reference is made to the stock exchange announcement on 23 May 2025 by KMC
Properties ASA (the "Company" or "KMCP") regarding a loan agreement entered into
between KMCP and Bewi Invest AS ("Bewi Invest", ticker BINT) by which a total
amount of NOK 4.5 million was made available to the Company.
KMCP has today received a conversion notice (the "Conversion Notice") from Bewi
Invest regarding the conversion of the full loan amount of NOK 4,500,000 plus
accrued interest into shares in KMCP pursuant to the conversion terms set forth
in the loan agreement (the "Conversion"). The conversion price per KMCP share is
NOK 0.058.
The Conversion is subject to necessary corporate resolutions being made by KMCP.
The Company may call for an extraordinary general meeting to resolve the
Conversion in accordance with the loan agreement.
The Company's share capital will accordingly be increased by NOK 1,561,892 by
the issuance of 78,094,600 new shares upon completion of the Conversion by
registration of the share capital increase in the Norwegian Register of Business
Enterprises (Nw.: Foretaksregisteret). Following the Conversion, the Company's
total share capital will be NOK 9,896,657.52 divided into 494,832,876 shares,
each with a nominal value of NOK 0.02.
