18 March 2025: Reference is made to the stock exchange announcement published
earlier today by Endúr ASA ("Endúr") regarding the successful completion of the
acquisitions of 100% of the shares in Total Betong AS, Igang Totalentreprenør
AS, and Habto Holding AS, including HAB Construction AS and ProPoint Survey AS
(jointly, the "Acquisitions"), from Totalbetong Gruppen AS and certain minority
sellers (the "Sellers").
As part of the Acquisitions, the board of directors of Endúr resolved to issue a
total of 7,333,333 new shares in Endúr to the Sellers at a subscription price of
NOK 75.00 per share (the "Consideration Shares"), as partly settlement of the
consideration payable by Endúr for the Acquisitions. Totalbetong Gruppen AS will
receive 6,474,400 Consideration Shares, representing approximately 12.87% of the
issues shares and votes in Endúr upon registration of the share capital increase
pertaining to the Consideration Shares. As a result, Totalbetong Gruppen AS will
exceed the 10% threshold pursuant to section 4-2 of the Norwegian Securities
Trading Act. Totalbetong Gruppen AS is not ultimately controlled by any natural
person or legal entity and has no rights to further shares or votes in Endúr.
