Aallon Group is an accounting firm that offer financial management services, such as bookkeeping and payroll. In addition to traditional accounting office services, the company produces various advisory services related to business operations and taxation, and financial management consulting. In addition, the company does its own application development in digital services and automation of financial administration. The oldest company in the group was founded in 1957.

Earnings growth driven by acquisitions doesn’t come for free; it requires paying cold hard cash or issuing new shares. I still believe that Aallon Group can create value through its acquisition strategy, and in a recent update, I stated: “However, we still see the company’s acquisition strategy creating value and its consistent execution gradually raising the company’s fair value in the coming years.” Regarding the acquisitions, I also noted the following: “We also revised our long-term growth forecast to 1% (previously 2-2.5%), which is driven by a few factors. Firstly, Aallon Group’s organic growth has been weaker than our expectations for some time. In our assessment, this is partly due to customer churn related to acquisitions, regarding which our previous assumptions have been too optimistic.” Aallon Group does not precisely disclose organic and inorganic growth figures, so these must be estimated. In light of current information, however, it would seem that on average, acquisitions cause some “leakage,” and for example, the H2 revenue development fell quite clearly short of our expectations. I must emphasize, however, that currently, bankruptcies and such also have a negative impact on customer churn. Typically, I have tried to haircut the revenue and earnings from announced acquisitions in my forecasts relative to the reported figures, but despite this, looking at a longer time series, Aallon Group’s results have missed my expectations more often than exceeded them. Thus, my assessment regarding acquisition-related churn seems to be correct. In itself, a certain amount of churn is quite natural, which is why those small offices are bought at very low multiples (EV/EBITDA 3-6x), as once the churn is taken into account, the real multiple ends up being somewhat higher. Of course, synergies and economies of scale also drive development in the other direction, and some offices continue to grow under Aallon. So, the moderate organic growth for the coming years essentially factors in potential leakage from already completed acquisitions. Organic growth can be outlined roughly like this: +New sales  +Price increases and expansion of customer accounts  +/- development of transaction volumes  -customer churn (e.g., switching to a competitor or insourcing services)  -bankruptcies From that combo, I have now estimated that the overall result will remain moderately positive in the coming years. And regarding Aallon’s valuation in general, one could say that the current share valuation hovering around 10 euros is on very solid ground, as valuation multiples are absolutely very low. Historically, at similar levels, high earnings growth expectations were baked into the multiples. Through acquisitions, the earnings level has risen systematically, and the current earnings level provides a solid floor for the valuation. This is a good foundation to build on for the coming years as acquisition-driven earnings growth continues. I hope, of course, that the Finnish economy also provides some tailwinds and the company’s sales efforts take hold, making my current growth expectations far too cautious

Sometimes Atte has defended Aallon’s weak H2 and missing forecasts by saying that accounting firms are busier in H1, and that he hasn’t been able to fully predict how revenue is distributed between H1/H2 for accounting firms. Well, time will tell.

The accounting industry is specifically weighted toward the spring. Profits are essentially made in the spring, as financial statements, tax returns, farm accounts, and other annual tasks are invoiced as additional work. Autumn is more about regular working hours. Of course, this has likely been factored into the forecasts.

I agree with Atte regarding the sluggish outlook for organic growth; M&A deals in the accounting industry involve a bit of customer churn, and that just has to be accepted. On the other hand, some cost synergies are also gained, which compensate for this. I think the bigger question in the AG investment story, however, is the continued execution of successful deals (max EV/Ebitda 5) + active process automation, both via third-party software and, in the future, via their own software. If they succeed in this, the EBITDA margin should be significantly higher than it is currently (cf. AG 15% vs. Talenom 29%), with acquisitions providing the growth. Regarding automation, it must be remembered that current accounting software has already had good rule-based tools for process automation for years. Now, they have been further improved slightly with the help of AI. Current tools already allow for 90% automation, and significantly fewer staff are needed compared to the old model. Sure, it will probably improve a bit more, but sufficiently good tools have been around for a long time. I wouldn’t worry about some new AI contraption falling from the sky and changing the game. The problem has been that accounting firms have been incredibly slow to adopt automation; routine-loving accountants resist, and the revenue model has been based on billable hours—so why automate?

It would certainly be efficient capital allocation if the group could be grown by acquiring companies for free.    Exactly. AG has grown its annual EPS at a CAGR of 20% over the last 5 years and 11% over the last 3 years. A 1% growth assumption is certainly playing it safe.

Talenom capitalizes customer acquisition. Doesn’t that directly affect EBITDA? You can’t compare the figures when one has customers on the balance sheet and the other doesn’t. Depreciation doesn’t affect EBITDA. Quite ingenious, actually​
