Relais Group is an importer and wholesaler for the automotive industry. The group focuses mainly on the development of automotive electronic equipment for trucks. @Karo_Hamalainen’s interview featured Relais’s Arni Ekholm                Relais specializes in combining companies operating in the commercial vehicle aftermarket. In March 2023, it set a target of a €50 million pro forma EBITA by the end of 2025. Thanks to major acquisitions made during the current year, the target seems achievable. Acquisitions can significantly change the nature of a company. In Relais’s case, the company has, in a few years, built within itself the leading brand-independent commercial vehicle repair shop chain in the Nordics. The change began when Relais acquired Raskone at the beginning of 2021. ”We heard indirectly that Raskone was for sale. Hey, there’s an idea here! Let’s start doing the same thing elsewhere in the Nordics. No one else has done it,” Relais CEO Arni Ekholm says on Karon Grilli. After the Raskone acquisition, Relais bought repair shops in Sweden, and at the beginning of this year, it made a major acquisition by buying a commercial vehicle repair shop chain, a total of 24 shops, from Vy, “Norway’s VR”. The repair shop coverage in the three neighboring countries can be supplemented by acquiring even individual outlets. However, one cannot start building a chain in a new country by buying individual repair shops – let alone by establishing them oneself. A sufficiently large chain would have to be acquired as a base. Why did Relais expand through acquisition even to northern Central Europe, even though a Danish repair shop chain is clearly missing from the portfolio? ”We haven’t yet found the right price for the right asset, and I don’t want to pay too much just because there’s a missing piece. We’re doing perfectly fine with these three Nordic countries,” Arni Ekholm says. On Grilli, Arni Ekholm also explains why the company decided to issue a €50 million hybrid bond and what the company’s new major owner, Portuguese alternative investment specialist Oxy Capital, is like.

Hi, Denmark is a slightly different market geographically (short distances, mild winter), so it cannot be directly compared to, for example, Finland or Norway, even though the number of vehicles and population is relatively the same. From our perspective, there is certainly a lot of potential because we don’t have a single repair shop there yet. It is an interesting market, which I have noted before.

It has occasionally been mentioned in interim reports from Denmark that Relais’s presence is still missing there, so I ask: What is the market potential in Denmark?

You are right that the Swedish market still has growth potential. This can be found in three ways: 1) By increasing the share of vehicle maintenance in our current network, as it is currently more trailer-focused than in Finland 2) By making more targeted acquisitions in the so-called independent sector and 3) By taking more market share from vehicle manufacturers’ workshops. As stated earlier, the market share of this so-called “OE” sector in the Nordic countries is typically 70-80%. In the passenger vehicle maintenance and repair markets, the shares are pretty much 50/50 between the independent sector and OE operators.

Has there been any discussion about the market potential of repair shop operations in Sweden? I saw in the latest presentation that there are more stores in Finland than in Sweden, which doesn’t quite add up considering the population base. To put it simply, I would imagine there is considerable room for expansion.

Relais announced today that Christian Johansson Gebauer, former head of Ratos Construction &amp; Services (SEK 16bn sales and SEK 1.4bn adjusted EBITA in 2024) is starting as new CEO no later than 19 January. Mr. Gebauer is Swedish citizen and has background from industry through Toyota and McKinsey &amp; Company. We do not expect any material changes to the current strategy (ending in 2025) with M&amp;A high in the agenda. We note Relais has increased growth ambitions outside Finland which we believe Mr. Gebauer fits well. In addition, we believe a Swedish CEO could increase the interest towards the company outside Finnish capital markets.
